Contract Abstraction
Contract abstraction extracts selected parties, dates, obligations, and terms from an agreement into a structured summary that retains source references.
Contract abstraction extracts selected information from an agreement into a structured summary, including parties, dates, obligations, and terms. It is an evidence-organizing task distinct from negotiating terms or deciding legal risk. SpotDraft definition.
Keep the condition with the obligation
A useful row includes the party, action, trigger, timing rule, conditions, document version, and source locator. A short summary that drops a trigger can change what the row asserts. The original agreement remains the evidence; the extracted register does not replace it.
Illustrative fictional fixture: DEMO-MSA-v1 §4 says a provider supplies a usage file within five business days after receiving an approved account list. The row should retain that receipt trigger and business-day rule. If Schedule B defines supported accounts but is missing, record the gap rather than reconstructing the account list.
Dates also need context. An absent trigger leaves the deadline unresolved, and a proposed addendum needs status review before its wording can replace the earlier row. The qualified reviewer determines the relevant legal meaning and commitments.
Distinguish the party named in the agreement from an internal monitoring owner. If the team has not assigned that operational owner, keep it Unassigned rather than copying the contractual party into the field.
Inspect the extracted record
The vendor-contract review-packet guide turns the supplied documents into an inventory, register, and reviewer questions. Spellbook is one product to evaluate for the legal team's evidence workflow.
For local sources, contract-obligation-register drafts the extraction and the contract obligation reviewer inspects source fidelity and omissions. check-obligation-dates checks explicit date records. It cannot choose a contractual interpretation or supply a missing timing event. Keep those questions alongside the register until the qualified reviewer resolves them.
